Gritty Venture Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of the services provided by Gritty Venture (“we,” “us,” or “our”). By accessing or using our services, website, or engaging with us, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
1. Services Provided
Gritty Venture provides digital marketing services, which may include, but are not limited to, search engine optimization (SEO), pay-per-click (PPC) management, social media marketing, content creation, website development, strategy consultation, and other related services (“Services”). The specific services to be provided will be outlined in a contract proposal or agreement that both parties must sign prior to the commencement of work.
2. Contractual Agreement
Before beginning any work, we will provide a formal contract proposal outlining the scope of services, pricing, timelines, and any other terms specific to your project. Both parties must sign the proposal for the agreement to be valid. Any additional services beyond the original scope will require a new contract or an amendment to the existing one.
3. No Refund Policy
All payments made to Gritty Venture for services rendered are non-refundable. Once work begins, you are liable for the full payment agreed upon in the contract, even if services are terminated or canceled prematurely. This includes but is not limited to all services provided, such as campaign work, consultations, and strategy development.
4. Payment Terms
Clients are required to make payments in accordance with the terms set forth in the contract proposal. If payments are not made according to the schedule, Gritty Venture reserves the right to suspend or terminate services until payment is received. Failure to pay within a specified period may result in additional charges or legal actions.
5. Cancellation Policy
If you wish to cancel or suspend services, a written request must be made at least 20 days before the intended cancellation date. Once received, services will continue until the end of the 20-day notice period. Any remaining balances must be settled before cancellation is finalized.
6. No Guarantee
While we strive to deliver high-quality digital marketing results, we make no guarantees regarding specific outcomes, including increases in website traffic, leads, or sales. The nature of digital marketing means results can vary due to factors beyond our control, such as market conditions, competition, and changes in algorithms or industry standards.
7. Client Responsibilities
You are responsible for providing accurate and timely information, content, access to systems, and approvals necessary for the successful execution of our services. Delays or inaccuracies in providing required materials may result in delays in project timelines, for which Gritty Venture is not responsible. It is also your responsibility to maintain control and ownership of any digital assets we manage on your behalf.
8. Intellectual Property Rights
Unless otherwise agreed in writing, all intellectual property rights to materials, strategies, content, and deliverables provided by Gritty Venture remain the property of Gritty Venture until full payment is received. Upon full payment, you will have the right to use the final deliverables for their intended purpose, but Gritty Venture retains the right to showcase the work as part of our portfolio.
9. Confidentiality
We respect the confidentiality of your business and agree to keep all sensitive information provided by you in the course of our engagement confidential. We will not disclose or use such information for any purpose other than providing the agreed-upon services unless required by law or with your prior consent.
10. Limitation of Liability
To the fullest extent permitted by law, Gritty Venture’s liability in connection with any services provided under this agreement shall be limited to the total amount paid for those services. Gritty Venture will not be held liable for any indirect, incidental, special, or consequential damages arising from the use of our services, including, but not limited to, lost profits or business interruptions.
11. Privacy Policy
Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal and business information. By engaging with us, you acknowledge and consent to the terms outlined in the Privacy Policy, which is available on our website.
12. Amendments and Modifications
Gritty Venture reserves the right to update or modify these Terms at any time. Any changes to the Terms will be communicated to you, and the updated Terms will be posted on our website. Continued use of our services after changes are posted will constitute acceptance of the updated Terms.
13. Termination
Either party may terminate the agreement with written notice. If you terminate the agreement before the completion of services, you will be responsible for paying for all work completed up to that point, as outlined in the contract. Gritty Venture may also terminate the agreement if payment terms are not met or if the client fails to provide the necessary materials and approvals in a timely manner.
14. Governing Law
These Terms and any disputes arising from them shall be governed by the laws of the jurisdiction in which Gritty Venture is based. Any legal action or proceeding related to these Terms must be filed in the appropriate court within that jurisdiction.
15. Force Majeure
Gritty Venture will not be liable for any delays or failure to perform due to circumstances beyond our control, including but not limited to natural disasters, acts of government, pandemics, or technical failures.
16. Dispute Resolution
In the event of a dispute arising from or relating to these Terms, we encourage you to contact us directly to resolve the issue amicably. If a resolution cannot be reached, the dispute will be subject to mediation or arbitration as determined by mutual agreement.
